Start with the transaction context
A small sample order and a long-term exclusive distribution agreement call for different levels of investigation. Explain what the counterpart will do, what resources will be committed and which risks matter most. This gives the reviewer a useful basis for choosing sources and checks.
Separate recorded facts from interpretation
Registration information, available financial records, litigation data, references and a site visit answer different questions. Reports should state when information was checked and where it came from. Gaps and conflicting information should remain visible. A visit can support verification of physical operations but does not by itself establish financial reliability.
Use the findings to shape the next step
Discuss which concerns require further evidence, a specialist opinion or different contractual terms. Due diligence supports a decision; it cannot guarantee future performance. If the commercial relationship changes significantly, consider whether the earlier checks still address the risk.
